1. Allgemeine Angaben zum Jahresabschluss
Die Gesellschaft wurde mit notariellem Vertrag vom 12. April 2007 gegründet.
Der vorliegende Jahresabschluss wurde unter Beachtung der §§ 238 HGB, 264 HGB sowie der Vorschriften des GmbHG und des Gesellschaftervertrages aufgestellt.
Größenabhängige Erleichterungen bei der Erstellung (§§ 266 As. 1, 276, 288 HGB) und bei der Offenlegung (§ 326 bzw. § 327 HGB) des Jahresabschlusses wurden in Anspruch genommen.
Die Gliederung der Gewinn- und Verlustrechnung erfolgte nach dem Gesamtkostenverfahren gemäß § 275 Abs.2 HGB.
Die Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne des § 267 HGB.
Zur Erläuterung der Bilanz und der Gewinn- und Verlustrechnung erforderliche Angaben sind soweit wie möglich in den Anhang übernommen. Die Entwicklung des Anlagevermögens ist gesondert dargestellt.

2. Bilanzierungs- und Bewertungsmethoden
Für die Aufstellung des Jahresabschlusses sind die nachfolgenden Bilanzierungs- und Bewertungsmethoden maßgebend.
a) Bilanzierungsmethoden
Im Jahresabschluss sind sämtliche Vermögensgegenstände, Schulden, Rechnungsabgrenzungsposten, Aufwendungen und Erträge enthalten, soweit gesetzlich nichts anderes bestimmt ist. Die Posten der Aktivseite sind nicht mit Posten der Passivseite, Aufwendungen nicht mit Erträgen verrechnet worden.
Das Anlage- und Umlaufvermögen, das Eigenkapital, die Schulden sowie die Rechnungsabgrenzungsposten wurden in der Bilanz gesondert ausgewiesen und hinreichend aufgegliedert.
b) Bewertungsmethoden
Bei der Bewertung wurde von der Fortführung des Unternehmens ausgegangen. Die Vermögensgegenstände und Schulden wurden einzeln bewertet. Es ist vorsichtig bewertet worden, namentlich sind alle vorhersehbaren Risiken und Verluste, die bis zum Abschlussstichtag entstanden sind, berücksichtigt worden, selbst wenn diese erst zwischen dem Abschlussstichtag und der Aufstellung des Jahresabschlusses bekannt geworden sind. Gewinne sind nur berücksichtigt worden, wenn sie bis zum Abschlussstichtag realisiert wurden. Aufwendungen und Erträge des Geschäftsjahres sind unabhängig vom Zeitpunkt der Zahlung berücksichtigt worden.

Forderungen und sonstige Vermögensgegenstände wurden zu Nennwerten bilanziert.

Für alle ungewissen Verbindlichkeiten und sonstigen Risiken wurden angemessene Rückstellungen gebildet. Sie sind in Höhe des Betrages angesetzt, der nach vernünftiger kau-männischer Beurteilung notwendig ist. Die Steuerrückstellungen beinhalten die bis zum Bilanzstichtag noch nicht veranlagten Steuern.

Die Verbindlichkeiten sind mit ihren jeweiligen Rückzahlungsbeträgen passiviert.

3. Erläuterungen zur Bilanz sowie Gewinn- und Verlustrechung

Die Forderungen aus Lieferungen und Leistungen und die Sonstigen Vermögensgegenstände haben eine Restlaufzeit von bis zu einem Jahr.

In den sonstigen Forderungen sind Forderungen gegenüber Gesellschaftern in Höhe von 696.940,30 € enthalten.

Die sonstigen Rückstellungen enthalten im Wesentlichen Rückstellungen für Abschlusskosten (€ 3.800,00).

Die sonstigen Verbindlichkeiten betragen € 49.587,35
davon entfallen auf
a) Steuern € 32.116,16
b) im Rahmen der sozialen Sicherheit € 0,00

Außerordentliche Erträge und außerordentliche Aufwendungen sind nicht angefallen.

4. Zusatzangaben zur Bilanz
Zusatzangaben zur Bilanz nach § 327 Ziff. 1 HGB sind nicht erforderlich, da es sich um eine sog. kleine Kapitalgesellschaft handelt.

5. Sonstige Angaben
Die Geschäftsführung wurde durch Herrn Gido Genschorek, Kaufmann, wahrgenommen.

Der Jahresabschluss per 31.12.2012 wurde am 05.05.2014 in Pinnow durch den Geschäftsführer, Herrn Gido Genschorek, unterzeichnet.
