I. Allgemeine Angaben und Erläuterungen zu den Bilanzierungs- und Bewertungsmethoden

Allgemeine Angaben

Nach den in § 267 Abs. 1 HGB angegebenen Größenklassen ist die Gesellschaft eine kleine Kapitalgesellschaft.

Die Gliederung des Jahresabschlusses sowie der Ansatz und die Bewertung erfolgten nach den Vorschriften des Handelsgesetzbuches für kleine Kapitalgesellschaften i.S.v. § 267 Abs. 1 HGB (in der Fassung des BilRUG). Die Gewinn- und Verlustrechnung ist nach dem Gesamtkostenverfahren aufgestellt. Auf die Erstellung eines Lageberichts wurde gemäß § 264 Abs. 1 Satz 4 HGB verzichtet.

Bilanzierungs- und Bewertungsmethoden

Soweit erforderlich, wurde der am Bilanzstichtag vorliegende niedrige Wert angesetzt.
Die Bilanzierungs- und Bewertungsmethoden wurden gegenüber dem Vorjahr unverändert beibehalten, soweit nicht neue Erkenntnisse eine abweichende Bewertung erforderten bzw. sich durch den Ansatz der HGB-Vorschriften nach BilRUG ergaben.

Die Forderungen, sonstigen Vermögensgegenstände undflüssigen Mittel werden mit dem Nennbetrag bzw. dem niedrigeren beizulegenden Wert bilanziert.

Die Rückstellungen berücksichtigen alle erkennbaren Risiken und ungewissen Verpflichtungen und werden in Höhe des Erfüllungsbetrags angesetzt, der nach vernünftiger kaufmännischer Beurteilung erforderlich ist, um zukünftige Zahlungsverpflichtungen abzudecken. Bei der Ermittlung der Rückstellungen werden zukünftige Preis- und Kostensteigerungen berücksichtigt, wenn ausreichend objektive Hinweise für deren Eintritt vorliegen.

Die Verbindlichkeiten werden mit ihrem Erfüllungsbetrag angesetzt.

II. Angaben und Erläuterungen zu den Posten der Bilanz

Die Forderungen haben eine Restlaufzeit bis zu einem Jahr.

Passiva

Verbindlichkeiten
Die Verbindlichkeiten aus Lieferungen und Leistungen sowie die sonstigen Verbindlichkeiten haben eine Restlaufzeit bis zu einem Jahr. Die sonstigen Verbindlichkeiten betreffen Umsatzsteuer.

III. Sonstige Angaben

Organe der Gesellschaft
Alleinvertretungsberechtigter Geschäftsführer der Gesellschaft war im Berichtsjahr:
Mehta, Sukaran, Toronto / Kanada (bis 07.04.2025)
Seit dem 07.04.2025 ist Herr Brandon Farber (Toronto/ Kanada) als alleinvertretungsberechtigter Geschäftsführer bestellt.

Durchschnittliche Zahl der während des Geschäftsjahres im Unternehmen beschäftigten Mitarbeiter
Die durchschnittliche Zahl der während des Geschäftsjahres um Unternehmen beschäftigten Arbeitnehmer betrug 10 (Vorjahr: 11).

Unternehmensfortführung
Die Bilanz der Gesellschaft weist zum 31. Dezember 2024 einen nicht durch Eigenkapital gedeckten Fehlbetrag von 256.822,87 EUR aus.
Die Geschäftsführung der Gesellschaft hat eine insolvenzrechtliche Fortführungsprognose („Fortbestehensprognose“) erstellt. Daraus ergibt sich nach Einschätzung der Geschäftsführung, dass am heutigen Tag der Liquiditätsbedarf der Gesellschaft für den nach § 19 Abs. 2 S. 1 InsO relevanten Prognosezeitraum von derzeit 12 Monaten mit überwiegender Wahrscheinlichkeit gesichert ist. Diese Fortbestehensprognose wurde durch eine Rangrücktrittsvereinbarung der Muttergesellschaft, Docebo Inc., Kanada unterlegt. Die Geschäftsführung geht nach Erläuterung der gesetzlichen Insolvenzantragspflichten (vgl. §§ 15a, 17, 19) InsO davon aus, dass derzeit kein Insolvenzgrund, d.h. auch nicht wegen Überschuldung gegeben ist.

Gewinnverwendungsvorschlag
Die Geschäftsführung schlägt vor, den Jahresfehlbetrag von EUR 170.136,67 auf neue Rechnung vorzutragen.
