I. Angaben und Erläuterungen zur Bilanz und Gewinn- und Verlustrechnung

Allgemeine Angaben zum Abschluss

Die Firma der Gesellschaft lautet Gemelo Holding GmbH. Die Gesellschaft ist im Handelsregister des Amtsgerichts Osnabrück unter HRB 213831 eingetragen.

Sitz der Gesellschaft ist Osnabrück. Die Geschäftsleitung befindet sich ebenfalls an diesem Ort.

Der Abschluss ist nach den Vorschriften des Handelsgesetzbuches (HGB) und des GmbH-Gesetzes (GmbHG) aufgestellt worden.

Die Gesellschaft weist zum Abschlussstichtag die Größenmerkmale einer kleine Kapitalgesellschaft (§ 267 Abs. 1 HGB) auf.

Die Gewinn- und Verlustrechnung wurde nach dem Gesamtkostenverfahren (§ 275 Abs. 2 HGB) aufgestellt.

Gemäß § 264c Abs. 1 HGB wurde die Bilanz um den Posten "Verbindlichkeiten gegenüber Gesellschaftern" erweitert.

II. Angaben zu Bilanzierungs- und Bewertungsmethoden

Im Einzelnen werden folgende Bilanzierungs- und Bewertungsmethoden angewandt:

Die Vermögensgegenstände des Finanzanlagevermögens sind zu Anschaffungskosten, in Einzelfällen zu niedrigeren beizulegenden Werten, angesetzt.

Forderungen und sonstige Vermögensgegenstände werden mit dem Nominalwert nach Abzug der erforderlichen Wertberichtigungen bilanziert. Es werden alle erkennbaren Einzelrisiken berücksichtigt.

Flüssige Mittel werden zu Nennwerten bilanziert.

Bei der Bemessung der sonstigen Rückstellungen wird allen erkennbaren Risiken und ungewissen Verpflichtungen Rechnung getragen.

Für die sonstigen Rückstellungen wurde der Erfüllungsbetrag als Bewertungsmaßstab berücksichtigt.

Die Verbindlichkeiten sind grundsätzlich mit ihrem Erfüllungsbetrag angesetzt.

III. Angaben zur Bilanz

1. Verbindlichkeiten

Sämtliche Verbindlichkeiten haben eine Restlaufzeit von bis zu einem Jahr. Hierunter werden Verbindlichkeiten gegenüber Gesellschaftern i.H.v. EUR 346.875,00 ausgewiesen.
