I. ALLGEMEINE ANGABEN ZUM JAHRESABSCHLUSS

Die MCB Salt GmbH hat ihren Sitz in Berlin und ist unter der Nummer HRB 127657 in das Handelsregister beim Amtsgericht Berlin (Charlottenburg) eingetragen.

Der vorliegende Jahresabschluss wurde gemäß §§ 242 ff. und §§ 264 ff. HGB sowie nach den einschlägigen Vorschriften des GmbHG aufgestellt. Es gelten die Vorschriften für kleine Kapitalgesellschaften i. S. d. § 267 HGB i. V. m. § 267a Abs. 3 HGB.

Die Gliederung der Bilanz entspricht § 266 Abs. 2 und 3 HGB. Die Gliederung der Gewinn- und Verlustrechnung folgt dem Gesamtkostenverfahren gemäß § 275 Abs. 2 HGB.

Die MCB Salt GmbH ist gemäß Vertrag vom 29. August 2023 über Verschmelzung zur Aufnahme in die Gesamtrechtsnachfolge der MCB Labs GmbH, Berlin, eingetreten. Verschmelzungsstichtag war der 1. Januar 2023. Sämtliche Wirtschaftsgüter wurden zu Buchwerten ohne Gegenleistung übernommen.

II. BILANZIERUNGS- UND BEWERTUNGSMETHODEN

Für die Aufstellung des Jahresabschlusses waren im Wesentlichen die nachfolgenden Bilanzierungs- und Bewertungsmethoden maßgebend.

1. Sachanlagen

Die Bilanzierung der Sachanlagen erfolgt zu Anschaffungs- bzw. Herstellungskosten abzüglich planmäßiger Abschreibungen. Die Abschreibungen wurden linear vorgenommen.

Die Wirtschaftsgüter sind vollständig abgeschrieben und wurden im Rahmen der Verschmelzung zu Buchwerten übernommen.

2. Finanzanlagen

Die Finanzanlagen sind zu Anschaffungskosten bzw. dem niedrigeren beizulegenden Wert ausgewiesen.

3. Forderungen und sonstige Vermögensgegenstände

Die Forderungen und sonstigen Vermögensgegenstände sind grundsätzlich mit ihren Nominalwerten aktiviert.

4. Liquide Mittel

Die liquiden Mittel werden mit den Nennwerten angesetzt.

5. Sonstige Rückstellungen

Die Rückstellungen berücksichtigen alle ungewissen Verbindlichkeiten und drohenden Verluste aus schwebenden Geschäften und sind jeweils in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrags (d. h. einschließlich zukünftiger Kosten- und Preissteigerungen) angesetzt.

6. Verbindlichkeiten

Die Verbindlichkeiten sind zum Erfüllungsbetrag angesetzt.

III. ANGABEN ZUR BILANZ

1. Verbindlichkeiten

Sämtliche Verbindlichkeiten haben eine Restlaufzeit von bis zu einem Jahr, ebenso im Vorjahr.

In den Verbindlichkeiten gegenüber verbundenen Unternehmen sind Verbindlichkeiten gegenüber Gesellschaftern in Höhe von EUR 352.037,01 (Vj. TEUR 321) enthalten.

In den sonstigen Verbindlichkeiten sind Verbindlichkeiten gegenüber Gesellschaftern in Höhe von EUR 8.311,12 (Vj. TEUR 6) enthalten.

IV. ANGABEN ZUR GEWINN- UND VERLUSTRECHNUNG

1. Sonstige betriebliche Erträge

In den sonstigen betrieblichen Erträgen sind außergewöhnliche Erträge aus Verschmelzung in Höhe von EUR 7.400,90 enthalten.

2. Abschreibungen

Die Abschreibungen auf Finanzanlagen (EUR 144.721,32) betreffen die Beteiligungen an der Shore GmbH, München (EUR 25.785,99), sowie an der G1OBALS GmbH i.L., Berlin (EUR 118.935,33). Die Beteiligungen wurden auf den niedrigeren beizulegenden Wert zum Abschlussstichtag abgeschrieben.

Die Abschreibungen auf Vermögensgegenstände des Umlaufvermögens, soweit diese die in der Gesellschaft üblichen Abschreibungen überschreiten (EUR 18.021,86) betreffen die Forderung gegen der Leonyte Biosystems GmbH i.L., Berlin sowie die Beteiligung an der Cringle GmbH i.L. Die Vermögensgegenstände des Umlaufvermögens wurden auf den niedrigeren beizulegenden Wert zum Abschlussstichtag abgeschrieben.

V. SONSTIGE ANGABEN

1. Anzahl der Arbeitnehmer

Die Gesellschaft beschäftigte im Geschäftsjahr 2023 keine Mitarbeiter.
