Anhang

Allgemeine Angaben

Die NEUWAY Pharma GmbH hat ihren Sitz in Bonn. Sie ist im Handelsregister des Amtsgerichts Bonn unter HRB 20899 eingetragen.

Der Jahresabschluss der NEUWAY Pharma GmbH wurde auf der Grundlage der Rechnungslegungsvorschriften des Handelsgesetzbuchs aufgestellt.

Ergänzend zu diesen Vorschriften waren die Regelungen des GmbH-Gesetzes sowie des Gesellschaftsvertrages zu beachten.

Soweit Wahlrechte für Angaben in der Bilanz, in der Gewinn- und Verlustrechnung oder im Anhang ausgeübt werden können, wurde der Vermerk im Anhang gewählt.

Das gesetzliche Gliederungsschema der §§ 266 und 275 HGB wurde angewandt.

Für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gewählt.

Nach den in § 267 HGB angegebenen Größenklassen ist die Gesellschaft eine kleine Kapitalgesellschaft.

Größenabhängige Erleichterungen bei der Erstellung des Jahresabschlusses wurden teilweise in Anspruch genommen.

Angaben zur Bilanzierung und Bewertung

Bilanzierungs- und Bewertungsgrundsätze

Für die Aufstellung des Jahresabschlusses waren unverändert die nachfolgenden Bilanzierung- und Bewertungsmethoden maßgebend.

Entgeltlich erworbene immaterielle Anlagewerte wurden zu Anschaffungskosten angesetzt und sofern sie der Abnutzung unterlagen, um planmäßige Abschreibungen vermindert.

Das Sachanlagevermögen wurde zu Anschaffungs- bzw. Herstellungskosten angesetzt und soweit abnutzbar, um planmäßige Abschreibungen vermindert.

Die planmäßigen Abschreibungen wurden nach der voraussichtlichen Nutzungsdauer der Vermögensgegenstände vorgenommen. Im Jahr des Zugangs erfolgte die Abschreibung pro rata temporis.

Im Berichtsjahr wurden abnutzbare bewegliche Gegenstände des Anlagevermögens mit einem Wert bis zu Euro 800,00 sofort voll abgeschrieben. Solche mit einem Wert bis zu Euro 250,00 wurden als Betriebsausgaben behandelt.

Forderungen und sonstige Vermögensgegenstände wurden zum Nennwert angesetzt.

Flüssige Mittel wurden zu Nominalwerten angesetzt.

Als Rechnungsabgrenzungsposten werden auf der Aktivseite Ausgaben vor dem Abschlussstichtag ausgewiesen, soweit sie Aufwand für eine bestimmte Zeit danach darstellen.

Die sonstigen Rückstellungen wurden für alle weiteren ungewissen Verbindlichkeiten gebildet. Dabei wurden alle erkennbaren Risiken berücksichtigt. Die Bewertung erfolgte nach vernünftiger kaufmännischer Beurteilung zum ggf. abgezinsten Erfüllungsbetrag.

Verbindlichkeiten wurden zum Erfüllungsbetrag angesetzt.

Angaben und Erläuterungen zu einzelnen Posten der Bilanz

Umlaufvermögen

Der Gesamtbetrag der bilanzierten Forderungen mit einer Restlaufzeit bis zu einem Jahr beträgt Euro 125.972,02 (Vorjahr: Euro 106.061,82).

Eigenkapital

Zum 31. Dezember 2020 beläuft sich das Stammkapital der NEUWAY Pharma GmbH auf Euro 62.352,00 und ist zum Stichtag in voller Höhe eingezahlt.

Die Zuzahlungen in das Eigenkapital der Gesellschaft werden für Personal- und Entwicklungskosten verwendet.

Verbindlichkeiten

Der Gesamtbetrag der bilanzierten Anleihe in Höhe von EUR 8.360.033,44 sowie der passivierten Zinsaufwendungen in Höhe von EUR 238.951,94 (Vorjahr: EUR 52.653,97) hat eine Restlaufzeit bis zu einem Jahr. Die Wandlung kann zum 31. Dezember 2021 vollständig durch Barausgleich oder durch Konvertierung in Eigenkapital erfolgen.

Der Gesamtbetrag der weiteren bilanzierten Verbindlichkeiten mit einer Restlaufzeit bis zu einem Jahr beträgt Euro 128.411,73 (Vorjahr: Euro 158.276,31).

Sonstige Angaben

Anzahl der Arbeitnehmer

Die durchschnittliche Zahl der während des Geschäftsjahres im Unternehmen beschäftigten Arbeitnehmer betrug 18 (Vorjahr: 17).

Sonstige finanzielle Verpflichtungen

Gemäß Gesellschaftervereinbarung (Subscription and Shareholder's Agreement) vom 30. April 2014 wurde vereinbart, dass die Gesellschaft berechtigt ist mit Zustimmung des Beirats bis zu 3.500 virtuelle Optionen zu vergeben. Die Ausübung der Optionen ist mit der aufschiebenden Bedingung belegt, dass diese nur bei einem Verkauf der Geschäftsanteile von mindestens 50 % im Rahmen einer Transaktion (Share Deal-Exit) möglich sind.

In 2020 wurden weitere 144 virtuelle Optionen an Mitarbeiter ausgegeben. Zum 31. Dezember 2020 sind in Summe 3.192 virtuelle Optionen an Mitarbeiter ausgegeben worden.

Aus Miet- und Leasingverträgen bestehen sonstige finanzielle Verpflichtungen in Höhe von insgesamt Euro 34.973,24. Von den vorgenannten finanziellen Verpflichtungen sind Euro 17.467,68 innerhalb des nächsten Jahres fällig.

Ergebnisverwendung

Die Geschäftsführung schlägt vor, den Jahresfehlbetrag in Höhe von EUR -2.709.338,97 auf neue Rechnung vorzutragen.
