Anhang

I. Allgemeine Angaben

Die Gesellschaft firmiert unter SD Beteiligungsgesellschaft mbH und hat ihren Sitz in Düsseldorf. Sie ist im Handelsregister, Abteilung B, unter HRB 79388 eingetragen (§ 264 Abs. 1a HGB).
Der vorliegende Jahresabschluss wurde gemäß der §§ 242 ff. und 264 ff. HGB sowie nach den einschlägigen Vorschriften des GmbHG und des Gesellschaftsvertrages aufgestellt. Die Gesellschaft weist zum Abschlussstichtag die Größenmerkmale einer kleinen Kapitalgesellschaft im Sinne von § 267 Abs. 1 HGB auf und nimmt daher bei der Aufstellung und Offenlegung des Jahresabschlusses entsprechende größenabhängige Erleichterungen in Anspruch.

Die Gliederung der Gewinn- und Verlustrechnung erfolgt nach dem Gesamtkostenverfahren gemäß § 275 Abs. 2 HGB.

Die unter Beachtung steuerlicher Vorschriften angewandten Bilanzierungs- und Bewertungsmethoden berücksichtigen alle erkennbaren Risiken.

Die Bilanz wird vor Verwendung des Jahresergebnisses aufgestellt.

II. Bilanzierungs- und Bewertungsmethoden

Die Finanzanlagen werden zu Anschaffungskosten bilanziert.

Forderungen und sonstige Vermögensgegenstände sowie Kassenbestand und Guthaben bei Kreditinstituten werden zum Nennwert angesetzt. Ausfall- und sonstige Risiken wird durch entsprechende Wertberichtigungen Rechnung getragen.

Die Steuerrückstellungen und sonstigen Rückstellungen decken die zum Zeitpunkt der Erstellung erkennbaren Risiken ab. Sie sind in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrages angesetzt.

III. Erläuterung zu den Posten der Bilanz

Von den Forderungen entfallen 0,00 Euro (Vorjahr 10.000,00 Euro) auf Forderungen gegen verbundene Unternehmen.

1. Verbindlichkeiten

Es besteht eine Darlehensverbindlichkeit gegenüber der Commerzbank AG in Höhe von 1.013.171,20 Euro, das mit 4,05% p.a. verzinst wird. Das Darlehen hat eine Laufzeit bis zum 30.06.2027. Alle übrigen Verbindlichkeiten sind innerhalb eines Jahres fällig.

IV. Sonstige Angaben

1. Geschäftsführung

Im Geschäftsjahr wurde die Geschäftsführung von Herrn Sebastian Druschel, Düsseldorf, Vorstand der Parasol AG, Düsseldorf, ausgeübt.

2. Sonstige Angaben

Es bestehen Darlehensforderungen gegen den Gesellschafter und Geschäftsführer in Höhe von TEUR 1.035, die unter den sonstigen Vermögensgegenständen ausgewiesen sind, und die mit 1,5% p.a.verzinst werden.
Im Geschäftsjahr waren keine Mitarbeiter beschäftigt.
