Anhang

I. Allgemeine Angaben zum Unternehmen

Die Startup Insider GmbH hat ihren Sitz in Berlin. Sie ist im Handelsregister des Amtsgerichts Charlottenburg unter HRB 213335 B eingetragen.

II. Allgemeine Angaben zu Inhalt und Gliederung des Jahresabschlusses

Der Jahresabschluss wurde nach den Vorschriften der §§ 242 ff. HGB unter Beachtung der ergänzenden Bestimmungen für Kapitalgesellschaften (§§ 264 ff. HGB) sowie des GmbHG aufgestellt.

Größenabhängige Erleichterungen bei der Erstellung (§§ 266 I, 276, 288 HGB) des Jahresabschlusses wurden teilweise in Anspruch genommen.

Der vorliegende Jahresabschluss ist grundsätzlich unter Beibehaltung der für den Vorjahresabschluss angewendeten Gliederungsgrundsätzen nach den für kleine Kapitalgesellschaften geltenden Vorschriften des Handelsgesetzbuches aufgestellt (§§ 265 I 2, 266 ff. HGB).

Die Gesellschaft ist buchmäßig überschuldet. Die Geschäftsführung geht von der Unternehmensfortführung aus, entsprechend erfolgte die Bewertung nach dem Going-Concern-Prinzip (Grundsatz der Unternehmensfortführung) gemäß § 252 Abs. 1 Nr. 2 HGB.

III. Bilanzierungs- und Bewertungsmethoden

Die immateriellen Vermögensgegenstände wurden linear abgeschrieben.

Das Sachanlagevermögen wurde zu Anschaffungs- bzw. Herstellungskosten angesetzt und um planmäßige lineare Abschreibungen vermindert. Die Abschreibungen wurden nach der voraussichtlichen Nutzungsdauer der Vermögensgegenstände und den steuerlichen Vorschriften entsprechend vorgenommen.

Die Sofortabschreibung nach § 6 Abs. 2 EStG bei Wirtschaftsgütern mit Anschaffungskosten bis EUR 800,00 wurde auch für die Handelsbilanz angewandt.

Forderungen und sonstige Vermögensgegenstände wurden unter Berücksichtigung aller erkennbaren Risiken bewertet. Einzelwertberichtigungen waren nicht zu bilden.

Kassenbestand und Guthaben bei Kreditinstituten sind mit dem Nominalwert zum Bilanzstichtag bewertet worden.

Verbindlichkeiten wurden zum Erfüllungsbetrag angesetzt.

Die sonstigen Rückstellungen sind in Höhe des Betrages angesetzt worden, der nach vernünftiger kaufmännischer Beurteilung notwendig ist, um alle zum Bilanzstichtag drohenden Verluste und ungewissen Verbindlichkeiten abzudecken. Soweit Rückstellungen eine Restlaufzeit von über einem Jahr ausweisen, wurden sie gemäß § 253 II HGB abgezinst.

IV. Erläuterungen zur Bilanz

Forderungen aus Lieferungen und Leistungen und sonstige Vermögensgegenstände

Die Forderungen aus Lieferungen und Leistungen haben eine Restlaufzeit bis zu einem Jahr.

Von den sonstigen Vermögensgegenstände in Höhe von 11.166,92 € (Vorjahr: 26.422,58 €) haben 7.957,58 € eine Restlaufzeit bis zu einem Jahr (Vorjahr: 26.422,58 €) und 3.209,34 € eine Restlaufzeit größer 1 Jahr (Vorjahr: 0,00 €).

Verbindlichkeiten

Die Verbindlichkeiten aus Lieferungen und Leistungen haben eine Restlaufzeit bis zu einem Jahr.

Von den sonstigen Verbindlichkeiten in Höhe von 439.755,88 € (Vorjahr: 0 €) haben 268.993,34 € eine Restlaufzeit bis zu einem Jahr und 170.762,54 € eine Restlaufzeit größer 5 Jahre.

Die sonstigen Verbindlichkeiten enthalten:

gegenüber Gesellschaftern EUR 30.028,86 (Vorjahr: EUR 0,00)
aus Steuern EUR 7.923,19 (Vorjahr: EUR 0,00)
soziale Sicherheit EUR 33.203,71 (Vorjahr: EUR 0,00)

Von den Verbindlichkeiten gegenüber Gesellschaftern werden 12.000 € mit 2% p.a. und 12.500 € mit 6% p.a. verzinst.

Die Restlaufzeit der Verbindlichkeiten gegenüber Gesellschaftern beträgt bis zu einem Jahr.

V. Sonstige Pflichtangaben

Die sonstigen finanziellen Verpflichtungen bestehen im Rahmen der üblichen Miet- und Leasingverträge.

Im Geschäftsjahr wurden durchschnittlich 8,25 Arbeitnehmer beschäftigt.

Der Geschäftsführer vertritt die Gesellschaft stets allein und ist von den Beschränkungen des § 181 BGB befreit.
