ANHANG FÜR DAS GESCHÄFTSJAHR 2018

I. Allgemeine Angaben

Die Gesellschaft ist unter der Firma Vehiculum mobility solutions GmbH mit Sitz in Berlin im Handelsregister des Amtsgerichts Berlin-Charlottenburg unter der Nummer HRB 170164 B eingetragen.

Der Jahresabschluss der Vehiculum mobility solutions GmbH wurde nach den Vorschriften des deutschen Handelsgesetzbuches in der aktuellen Fassung sowie den ergänzenden Regelungen des GmbH- Gesetzes aufgestellt. Die Gewinn- und Verlustrechnung wurde nach dem Gesamtkostenverfahren aufgestellt.

Bei der Erstellung des Jahresabschlusses wurden die handelsrechtlichen Bilanzierungs- und Bewertungsvorschriften beachtet. Die auf den Jahresabschluss angewandten Bilanzierungs- und Bewertungsmethoden wurden beibehalten.

Nach den Größenkriterien des § 267 HGB ist die Gesellschaft als kleine Kapitalgesellschaft einzustufen. Die größenabhängigen Erleichterungen der § 274 a HGB und § 288 Abs. 1 HGB wurden bei der Erstellung des Anhangs in Anspruch genommen.

Bei der Bewertung der im Jahresabschluss ausgewiesenen Vermögensgegenstände und Schulden wurde von einer positiven Fortführung gemäß § 252 Abs. 1 Nr. 1 HGB ausgegangen, da die Gesellschaft durch die im Januar 2019 getätigten Finanzierungsmaßnahmen über genügend finanzielle Mittel verfügt und im Geschäftsjahr 2020 erstmalig mit positiven Jahresergebnissen plant.

II. Angaben zu den Bilanzierungs- und Bewertungsmethoden

Immaterielle Vermögensgegenstände und Sachanlagen werden zu Anschaffungs- oder Herstellungskosten, vermindert um planmäßige Abschreibungen, angesetzt. Anlagenzugänge werden linear entsprechend ihrer voraussichtlichen Nutzungsdauer abgeschrieben. Soweit bei den Vermögensgegenständen des Anlagevermögens am Abschlussstichtag eine voraussichtliche dauernde Wertminderung vorliegt, werden außerplanmäßige Abschreibungen auf den niedrigeren beizulegenden Wert vorgenommen.

Forderungen und sonstige Vermögensgegenstände sind zum Nennwert unter Abzug gebotener Wertberichtigungen angesetzt. Erkennbaren Einzelrisiken wird durch Bildung von Einzelwertberichtigungen Rechnung getragen.

Die Guthaben bei Kreditinstituten sind zu Nennwerten bilanziert.

Der aktive Rechnungsabgrenzungsposten enthält Vorauszahlungen für künftige Zeiträume und ist zum Nennwert bilanziert.

Der Wertansatz der sonstigen Rückstellungen beinhaltet alle erkennbaren Risiken und ungewissen Verpflichtungen auf der Grundlage vorsichtiger kaufmännischer Beurteilung mit ihrem Erfüllungsbetrag.

Verbindlichkeiten sind mit ihrem Erfüllungsbetrag bilanziert.

III. Erläuterungen zur Bilanz sowie zur Gewinn- und Verlustrechnung

Die sonstigen Vermögensgegenstände mit einer Restlaufzeit von mehr als einem Jahr betragen TEUR 25 (Vorjahr: TEUR 0) und betreffen Kautionen.

Sämtliche Verbindlichkeiten haben wie im Vorjahr eine Restlaufzeit von unter einem Jahr.

IV. Sonstige Angaben

Die durchschnittliche Zahl der während des Geschäftsjahres beschäftigten Arbeitnehmer beträgt 38.

Zum Bilanzstichtag bestehen sonstige finanzielle Verpflichtungen aus Mietverhältnissen in Höhe von TEUR 163.

Nach Schluss des Geschäftsjahres wurde mit notariellem Vertrag vom 3. Januar 2019 eine Stammkapitalerhöhung um TEUR 11 auf TEUR 54 beschlossen. Die Eintragung in das Handelsregister erfolgte am 14. Februar 2019. Im selben Zuge wurde die Umwandlung des mit notariellem Vertrag vom 20. Juni 2018 gewährten Wandeldarlehens in Höhe von TEUR 850 zuzüglich Zinsen von TEUR 21 in Eigenkapital beschlossen. Weitere TEUR 5.075 wurden als freiwillige Zuzahlung in die Kapitalrücklage geleistet. Sämtliche Beträge wurden im Februar 2019 eingezahlt.
