Anhang

1. Allgemeine Angaben zum Jahresabschluss

Der Jahresabschluss auf den 31. Dezember 2023 wurde nach den Vorschriften der §§ 242 ff. HGB unter Beachtung der ergänzenden Bestimmungen für Kapitalgesellschaften (§§ 264 ff. HGB) in der Fassung des Bilanzrichtlinie-Umsetzungsgesetzes (BilRUG) erstellt.

Die Rechnungslegung erfolgte nach Art und Umfang nach den für kleine Kapitalgesellschaften (§ 267 Absatz 1 HGB) maßgeblichen Vorschriften. Teilweise wurden die Darstellungen freiwillig an die Vorschriften für mittelgroße Kapitalgesellschaften angepasst.

Die Gesellschaft ist im Handelsregister beim Amtsgericht Flensburg, HRB Nr. 3620 unter der Firma mp NETworks GmbH eingetragen. Der Sitz der Gesellschaft ist Handewitt.

Die Gewinn- und Verlustrechnung wird nach dem Gesamtkostenverfahren erstellt.

Bei der Bewertung ist von der Fortführung der Unternehmenstätigkeit (§ 252 Absatz 1 Nr. 2 HGB) ausgegangen worden.

2. Angaben zu Bilanzierungs- und Bewertungsmethoden

Im Einzelnen wurden folgende Bilanzierungs- und Bewertungsmethoden angewendet:

1. Die Immateriellen Vermögensgegenstände sowie das Sachanlagevermögen wurden zu Anschaffungs- bzw. Herstellungskosten unter Berücksichtigung von Anschaffungsnebenkosten und Anschaffungskostenminderungen angesetzt und um planmäßige Abschreibungen vermindert.

2. Die Vermögensgegenstände des abnutzbaren Anlagevermögens wurden unter Zugrundelegung der betriebsgewöhnlichen Nutzungsdauer linear bzw. degressiv abgeschrieben. Bewegliche Wirtschaftsgüter des Anlagevermögens mit einem Netto-Einzelanschaffungswert von bis zu € 800,00 wurden im Zugangsjahr voll abgeschrieben.

Für außerplanmäßige Abschreibungen bzw. Zuschreibungen bestand keine Veranlassung.

3. Das Vorratsvermögen wurde zu Anschaffungs- bzw. Herstellungskosten nach dem Grundsatz der Einzelbewertung unter Berücksichtigung der zulässigen Bewertungsvereinfachungsverfahren angesetzt.

Abschreibungen auf einen niedrigeren Wert, der sich aus dem Tageswert am Abschlussstichtag ergibt, wurden entsprechend berücksichtigt. Hierbei wurde das Alter der Bestände, Gängigkeit und Verwertbarkeit bei der Bewertung zu Grunde gelegt. Alle erkennbaren Risiken aus einer verminderten Verwertbarkeit des Vorratsvermögens wurden berücksichtigt.

4. Die Forderungen und sonstigen Vermögensgegenstände sind mit dem Nennwert, soweit erforderlich abzüglich Einzelwertberichtigungen sowie abzüglich einer Pauschalwertberichtigung für das allgemeine Kreditrisiko, bewertet. Forderungen und sonstige Vermögensgegenstände mit einer Restlaufzeit von mehr als 1 Jahr bestehen nicht.

5. Gegenüber den Gesellschaftern bestehen die nachfolgenden Rechte und Pflichten:

6. Der Kassenbestand und Guthaben bei Kreditinstituten sind zum Nennwert angesetzt.

7. Für Ausgaben, die vor dem Bilanzstichtag geleistet wurden, wirtschaftlich aber eine bestimmte Zeit nach dem Bilanzstichtag betreffen, wurden aktive Rechnungsabgrenzungsposten gebildet.

8. Die Bilanz ist unter Berücksichtigung der teilweisen Verwendung des Jahresergebnisses aufgestellt worden (§ 268 Absatz 1 HGB). In dem Posten "Bilanzgewinn" in Höhe von € 387.806,04 ist ein Gewinn- / Verlustvortrag aus dem Vorjahr in Höhe von € 0,00 enthalten.

9. Der Gesamtbetrag, der gemäß § 268 Absatz 8 HGB der Ausschüttungssperre unterliegt, beträgt € 0,00.

10. Die Steuerrückstellungen und die sonstigen Rückstellungen sind in Höhe des nach vernünftiger kaufmännischer Beurteilung notwendigen Erfüllungsbetrages angesetzt.

11. Die Verbindlichkeiten sind mit dem Erfüllungsbetrag passiviert.

Der Gesamtbetrag der Verbindlichkeiten mit einer Restlaufzeit bis zu 1 Jahr beträgt € 169.173,15 und mit einer Restlaufzeit von mehr als 5 Jahren € 0,00.

Es bestehen sonstige finanzielle Verpflichtungen in Höhe von € 137.490,02.

Die durchschnittliche Zahl der während des Geschäftsjahres im Unternehmen beschäftigten Arbeitnehmer betrug 16.

Geschäftsführer war im abgelaufenen Geschäftsjahr Herr Jan Thyen (§ 285 Nr. 10 HGB).
