Anhang für das Geschäftsjahr 2021

I. Allgemeine Angaben

Die TransAction Software GmbH hat ihren Geschäftssitz in München und ist im Handelsregister des Amtsgerichts München unter der HRB 81603 eingetragen.

Der Jahresabschluss der TransAction Software GmbH, München, zum 31. Dezember 2021 wurde auf Grundlage der Bilanzierungs- und Bewertungsvorschriften für kleine Kapitalgesellschaften des Handelsgesetzbuches und des GmbH-Gesetzes aufgestellt. Für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gewählt.

II. Bilanzierungs- und Bewertungsmethoden

Die Bilanzierungs- und Bewertungsmethoden wurden nach den bisherigen Grundsätzen unverändert unter Beachtung der allgemeinen Bestimmungen der §§ 252 bis 256a HGB sowie der Sondervorschriften für Kapitalgesellschaften gemäß §§ 264 bis 289a HGB fortgeführt. Die Gesellschaft nimmt die größenabhängigen Erleichterungen nach § 274 HGB und § 288 Abs. 1 HGB teilweise in Anspruch.

Die immateriellen Vermögensgegenstände des Anlagevermögens, Sach- und Finanzanlagen werden zu Anschaffungskosten aktiviert. Vermögensgegenstände, deren Nutzung zeitlich begrenzt ist, werden entsprechend ihrer voraussichtlichen wirtschaftlichen Nutzungsdauer planmäßig nach der linearen Methode abgeschrieben. Soweit für in den Vorjahren zugegangene Vermögensgegenstände, die degressiv-lineare Abschreibungsmethode angewandt wurde, wurde diese beibehalten. Geringwertige Wirtschaftsgüter mit Anschaffungskosten bis EUR 800,00 wurden aus Vereinfachungsgründen entsprechend der steuerlichen Vorschriften im Erwerbsjahr voll abgeschrieben. Soweit notwendig, werden außerplanmäßige Abschreibungen auf den niedrigeren beizulegenden Wert gemäß § 253 Abs. 3 Satz 3 HGB vorgenommen.

Der Ansatz der Forderungen und sonstigen Vermögensgegenstände erfolgt zum Nennwert, soweit nicht wegen bestehender Einzelrisiken Bewertungsabschläge vorzunehmen sind.

Die Wertpapiere des Umlaufvermögens werden zu Anschaffungskosten bzw. dem niedrigeren Wert am Bilanzstichtag angesetzt.

Die flüssigen Mittel werden zum Nennwert angesetzt.

Die aktiven Rechnungsabgrenzungsposten betreffen Ausgaben vor dem Bilanzstichtag, die Aufwendungen nach dem Bilanzstichtag darstellen.

Die Rückstellungen sind in Höhe des Betrages angesetzt, der nach vernünftiger kaufmännischer Beurteilung erforderlich ist. Sie decken alle zum Bilanzstichtag erkennbaren Risiken und ungewissen Verpflichtungen ab und sind mit dem Erfüllungsbetrag bewertet.

Die Verbindlichkeiten sind zum Erfüllungsbetrag passiviert.

Die passiven Rechnungsabgrenzungsposten betreffen Einnahmen vor dem Bilanzstichtag, die Erträge nach dem Bilanzstichtag darstellen.

Fremdwährungspositionen wurden gemäß § 256a HGB zum Devisenkassamittelkurs am Abschlußstichtag umgerechnet.

III. Angaben zur Bilanz

1. Forderungen und sonstige Vermögensgegenstände

Die Forderungen und sonstigen Vermögensgegenstände haben in Höhe von EUR 189.429,96 (Vorjahr EUR 181.452,43) eine Restlaufzeit von mehr als einem Jahr.

2. Rückstellungen für Pensionen und ähnliche Verpflichtungen

Die Rückstellung für Pensionen und ähnliche Verpflichtungen wurde nach der versicherungsmathematischen Teilwertmethode gebildet. Es wurden folgende Annahmen für die Berechnung berücksichtigt (§ 285 Nr. 24 HGB):

·  pauschale durchschnittliche Restlaufzeit von 15 Jahren
·  Der Abzinsungssatz wurde von der Deutschen Bundesbank bekanntgemacht und beträgt 1,87% (Vorjahr: 2,30%).
·  Lohn- und Gehaltssteigerungen von 2,0 % nach den Erfahrungswerten aus der Vergangenheit
·  Sterbetafeln nach Dr. Klaus Heubeck "Richttafeln 2018 G"
Gegenüber der Bewertung der Pensionsrückstellungen auf Basis eines 7-Jahresdurchschnittszinssatzes ergibt sich ein Unterschiedsbetrag in Höhe von TEUR 16, der ausschüttungsgesperrt ist.

3. Verbindlichkeiten

Die Verbindlichkeiten haben vollumfänglich eine Restlaufzeit von einem Jahr. Die Verbindlichkeiten gegenüber Kreditinstituten betragen EUR 213.757,18 (Vorjahr: 165.457,48). Die sonstigen Verbindlichkeiten enthalten Verbindlichkeiten aus Steuern in Höhe von EUR 91.269,44 (Vorjahr EUR 73.647,02) und Verbindlichkeiten im Rahmen der sozialen Sicherheit von EUR 2.912,00 (Vorjahr EUR 0,00).

IV. Sonstige Angaben
