Registerinformationen

Die metamorphosis GmbH hat Ihren Sitz in Paderborn und wird beim Amtsgericht Paderborn unter dem Registerblatt HRB 13616 geführt.

Allgemeine Angaben

Der Jahresabschluss der metamorphosis GmbH wurde auf der Grundlage der Rechnungslegungsvorschriften des Handelsgesetzbuchs aufgestellt. Ergänzend zu diesen Vorschriften waren die Regelungen des GmbH-Gesetzes zu beachten.

Nach den in § 267 HGB angegebenen Größenklassen ist die Gesellschaft eine kleine Kapitalgesellschaft.

Für die Gewinn- und Verlustrechnung wurde das Gesamtkostenverfahren gewählt.

Bilanzierungs- und Bewertungsgrundsätze

Erworbene immaterielle Anlagewerte wurden zu Anschaffungskosten angesetzt und sofern sie der Abnutzung unterlagen, um planmäßige Abschreibungen vermindert.

Das Sachanlagevermögen wurde zu Anschaffungs- bzw. Herstellungskosten angesetzt und soweit abnutzbar, um planmäßige Abschreibungen vermindert.

Die planmäßigen Abschreibungen wurden nach der voraussichtlichen Nutzungsdauer der Vermögensgegenstände und entsprechend den steuerlichen Vorschriften linear vorgenommen.

Bewegliche Gegenstände des Anlagevermögens bis zu einem Wert von 800,00 Euro wurden im Jahr des Zugangs gemäß § 6 Abs. 2 EStG voll abgeschrieben.

Forderungen und sonstige Vermögensgegenstände wurden mit dem Nennbetrag angesetzt.

Die sonstigen Rückstellungen wurden für ungewisse Verbindlichkeiten gebildet und mit ihren Erfüllungsbeträgen angesetzt. Dabei wurden alle erkennbaren Risiken berücksichtigt.

Verbindlichkeiten wurden zum Erfüllungsbetrag angesetzt. Dies gilt auch für eventuell vorhandene unverzinsliche Verbindlichkeiten. Sofern die Tageswerte über den Erfüllungsbeträgen lagen, wurden die Verbindlichkeiten zum höheren Tageswert angesetzt.
Bei der Verbindlichkeit gegenüber Kreditinstituten handelt es sich um ein Wandeldarlehen mit qualifiziertem Rangrücktritt in Höhe von 200.000,00 Euro. Dieses Darlehen hat eine Laufzeit von sechs Jahren und wird mit 6 % verzinst, so dass sich zum Bilanzstichtag ein Betrag in Höhe von 227.833,33 Euro ergibt.

In den sonstigen Verbindlichkeiten sind Verbindlichkeiten gegenüber Gesellschaftern in Höhe von 3.197.150,01 Euro enthalten. Hierbei handelt es sich um ein gewährtes Wandeldarlehen der Gesellschafter.
Für sämtliche Darlehen einschließlich des gewährten Bankdarlehens wurde ein qualifizierter Rangrücktritt vereinbart, so dass trotz des nicht durch Eigenkapital gedeckten Fehlbetrags in Höhe von 2.360.382,16 Euro keine Überschuldung im insolvenzrechtlichen Sinn vorliegt.

Die Aufgliederung und Entwicklung der Anlagenwerte ist aus dem Anlagenspiegel zu entnehmen.

Geschäftsjahresabschreibung

Die Geschäftsjahresabschreibung je Posten der Bilanz ist aus dem Anlagenspiegel zu entnehmen.

Die Sofortabschreibung geringwertiger Wirtschaftsgüter wird lediglich als Zugang ausgewiesen; sie ist somit in der Geschäftsjahresabschreibung enthalten.

Sonstige Pflichtangaben

Die Gesamtzahl der durchschnittlich beschäftigten Arbeitnehmer beträgt 18.

Während des abgelaufenen Geschäftsjahrs wurden die Geschäfte des Unternehmens durch folgende Personen geführt:
