Anhang

A. Allgemeines
Der vorliegende Jahresabschluss der Passolution GmbH ist nach den Vorschriften des Dritten Buches des HGB (§§ 238 ff. HGB) unter Beachtung der ergänzenden Bestimmungen für Kapitalgesellschaften (§§ 264 ff HGB) aufgestellt worden. Ergänzend an diesen Vorschriften waren die Regelungen des GmbH-Gesetzes zu beachten.

Die Gesellschaft ist eine kleine Kapitalgesellschaft im Sinne des § 267 Abs. 1 HGB. Sie ist gemäß § 316 HGB nicht prüfungspflichtig.

Von den größenabhängigen Erleichterungen des § 288 HGB wurde Gebrauch gemacht.

B. Bilanzierungs- und Bewertungsgrundsätze

Die Bilanzierungs- und Bewertungsgrundsätze blieben im Wesentlichen unverändert.

Die immateriellen Vermögensgegenstände und das Sachanlagevermögen werden mit den Anschaffungskosten bzw. Herstellungskosten, vermindert um planmäßige Abschreibungen entsprechend der betriebsgewöhnlichen Nutzungsdauer angesetzt.

Die planmäßigen Abschreibungen des Sachanlagevermögens werden gem. § 7 Abs. 1 EStG linear, pro rata temporis und mit den steuerlich zulässigen Sätzen vorgenommen.

Die Nutzungsdauer beträgt zwischen 3 Jahren und 7 Jahren.

Weitere Informationen können dem beigefügten Anlagespiegel entnommen werden.

Geringwertige Wirtschaftsgüter wurden im Berichtsjahr in voller Höhe abgeschrieben.

Forderungen aus Lieferungen und Leistungen sowie sonstige Vermögensgegenstände werden zum Nennwert und unter Beachtung des Niederstwertprinzips angesetzt. Die Bildung eventueller Wertberichtigungsposten (Einzelwertberichtigung, Pauschalwertberichtigung) war mangels Ausfallrisiko entbehrlich.

Flüssige Mittel werden zu Nominalwerten angesetzt.

Bei der Bemessung der Rückstellungen wurden allen erkennbaren Risiken angemessen und ausreichend Rechnung getragen.

Verbindlichkeiten wurden zum Rückzahlungsbetrag angesetzt.

C. Erläuterungen zur Bilanz und Gewinn- und Verlustrechnung

Anlagevermögen
Die Aufgliederung und die Bewegungen des Anlagevermögens sind dem Anlagespiegel in der Anlage zu diesem Anhang zu entnehmen.

Steuerrechtliche Abschreibungen des Geschäftsjahres
Im laufenden Jahr wurden keine steuerlich zulässigen Sonderabschreibungen vorgenommen.

Forderungen mit einer Restlaufzeit von mehr als einem Jahr
Die Forderungen und sonstigen Vermögensgegenstände beinhalten keine Posten mit einer Restlaufzeit von mehr als einem Jahr.

Steuerbelastungen
Die Steuern vom Einkommen und Ertrag belasten ausschließlich das Ergebnis der gewöhnlichen Geschäftstätigkeit.

Sonstige Rückstellungen
Innerhalb der Rückstellungen sind als wesentliche Positionen die voraussichtlichen Aufwendungen für Ertragsteuern, die Jahresabschlusserstellung sowie Personalkosten erfasst.

Restlaufzeiten und Sicherheiten der Verbindlichkeiten zum 31. Dezember 2022
Verbindlichkeiten mit einer Restlaufzeit von mehr als fünf Jahren bestanden am Bilanzstichtag nicht. Sicherungsrechte am Gesellschaftsvermögen zu Gunsten Dritter bestehen nicht.

D. Sonstige Angaben

a. Angaben zu Organmitgliedern
Geschäftsführer zum Zeitpunkt der Bilanzerstellung sind Dennis Zimon und Daniel Henninger.
Sie sind alleinvertretungsberechtigt und von den Beschränkungen des § 181 BGB befreit.
Ein Aufsichtsrat oder Beirat wurde nicht bestellt.

b. Ergebnisverwendung
Die Geschäftsführung hat vorgeschlagen, den Jahresüberschuss zusammen mit dem Ergebnisvortrag des Vorjahres in voller Höhe auf neue Rechnung vorzutragen.
