In the commercial registry, transformation refers to the legally regulated change of a company's legal form or structure according to the provisions of the Transformation Act (UmwG). The aim is to enable economic continuity despite formal changes, such as through mergers, demergers, changes of form, or asset transfers. The company remains economically identical while its legal shell changes. The transformation becomes legally effective only upon registration in the commercial registry (§ 20 UmwG). The registry entry has constitutive effect – it establishes the new legal form or leads to the merger or demerger. Important: Only upon registration are new representation authorities, corporate relationships, or liability regulations publicly documented. The transformation is noted and archived in the commercial registry, ensuring that the company's development remains traceable.
